These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you” or “user”) and American Friends of Gal Einai (“we,” “us,” or “our”), the operator of Binah, an AI-powered spiritual companion accessible at binah.inner.org and via WhatsApp (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Eligibility

The Service is intended for individuals who are at least 18 years of age. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Description of the Service

Binah is an AI-powered spiritual companion that provides guidance rooted in Torah, Chassidic, and Kabbalistic teachings, centered on the works of Rabbi Yitzchak Ginsburgh. The Service draws from a library of over 15,000 books, lectures, and Torah sources to generate responses to your questions.

The Service is available via the website at binah.inner.org and, for subscribers, via WhatsApp.

3. User Accounts and Registration

To access certain features of the Service, you may be required to register an account by providing your name, email address, and WhatsApp phone number. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your information as necessary
• Keep your account credentials confidential
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate your account if any information you provide is inaccurate, misleading, or incomplete, or if your use violates these Terms.

4. Subscriptions, Fees, and Payment

The Service offers the following paid subscription tiers:

• Essential — $29/month
• Plus — $59/month
• Prime — $89/month

Subscriptions are billed on a recurring monthly basis. By subscribing, you authorize us to charge your chosen payment method on a recurring basis until you cancel. We accept Visa, Mastercard, and American Express via Stripe.

We reserve the right to change pricing at any time. Price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of any price changes.

5. Free Tier

We offer a free tier that provides up to 30 messages per month via the website. No credit card or payment information is required for the free tier. The free tier is subject to change or discontinuation at our discretion.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Your cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that date.

All purchases are non-refundable unless otherwise required by applicable law. If you are unsatisfied with the Service, please contact us at support@inner.org.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Harass, abuse, threaten, or harm any person
• Transmit spam, malware, or other harmful content
• Attempt to gain unauthorized access to the Service or its systems
• Use automated tools (bots, scrapers, scripts) to access the Service without our written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Circumvent any usage limits, rate limiting, or security measures
• Impersonate another person or entity
• Use the Service for any commercial purpose not expressly authorized by us
• Redistribute, resell, or republish AI-generated responses for commercial gain

We reserve the right to suspend or terminate access for any user who violates these restrictions.

All content, design, software, trademarks, logos, and other intellectual property associated with the Service (excluding user content) are owned by or licensed to American Friends of Gal Einai and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms.

The underlying Torah teachings, books, and lectures that inform Binah’s responses remain the intellectual property of their respective authors and publishers. AI-generated responses are summaries and interpretations and should not be treated as verbatim reproductions of source material.

10. User Content and Chat Data

You retain ownership of the content you submit through the Service (your questions and messages). By using the Service, you grant us a limited license to process your content solely for the purposes of:

• Generating AI responses to your questions
• Maintaining your conversation history for continuity

11. Third-Party Services

The Service integrates with third-party services including Google Firebase, Stripe, WhatsApp (Meta), SendGrid (Twilio), and Google Cloud Platform. Your use of these third-party services is subject to their respective terms and privacy policies.

We are not responsible for the practices, content, or availability of third-party services. Any issues arising from third-party services should be directed to the respective provider.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your information.

The Service is hosted in the United States. If you access the Service from outside the United States, you consent to the transfer and processing of your data in the United States.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated responses will be accurate, complete, or suitable for any purpose
• Any defects will be corrected
• The Service will meet your specific requirements or expectations

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMERICAN FRIENDS OF GAL EINAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the one (1) month preceding the event giving rise to the claim, or fifty dollars ($50), whichever is greater.

15. Indemnification

You agree to indemnify, defend, and hold harmless American Friends of Gal Einai, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you submit through the Service

16. Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and associated data, subject to our Privacy Policy retention provisions
• Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will continue to apply

If your account is terminated for violating these Terms, you may not create a new account without our written permission.

17. Modifications to Terms and Service

We reserve the right to modify these Terms at any time. The updated version will be indicated by the “Last updated” date at the top of this page. Material changes will be communicated via email or a prominent notice on the Service.

Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

We also reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction and venue of such courts and waive any objection based on forum non conveniens.

Any claim must be brought within one (1) year after the cause of action arises, or it is permanently barred.

19. Electronic Communications

By using the Service, you consent to receive electronic communications from us, including transactional messages (OTP codes, subscription confirmations) and, if you have opted in, promotional communications about the Service. You may opt out of promotional communications at any time by using the unsubscribe link in any email or by contacting us.

You agree that all agreements, notices, and communications provided electronically satisfy any legal requirement that such communications be in writing.

20. Severability and Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed and shall not affect the validity and enforceability of the remaining provisions.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and American Friends of Gal Einai regarding the Service and supersede all prior agreements and understandings.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
